This LPN Platform Service Agreement ("Agreement") is entered into between Medloc Nursing On Demand Inc. ("Medloc", "Platform") and the Licensed Practical Nurse identified above ("LPN", "Nurse", "You").
Definitions:
The Medloc Platform provides LPNs with a full suite of tools to manage their work schedule, respond to opportunities, and maintain professional standing — entirely on their own terms.
Post Availability Freely
Post your available time as often as you like — daily, weekly, or on demand. Update or remove availability at any time. Minimum block: 2 hours.
Edit Anytime
Modify posted availability windows at any time before a shift is confirmed. No penalties for updating unconfirmed availability.
AI-Matched Shift Offers
Medloc automatically matches your posted availability against registered facility needs and broadcasts relevant shift offers to you in real time.
Direct Facility Contact
Registered facilities may contact you directly via text or email if your profile and availability make you a strong match for an urgent need.

2.2 — AI-Driven Auto-Matching: Shift offers are generated automatically by Medloc when registered facilities report scheduling gaps. The Platform's algorithm matches open gaps to available, verified LPNs and broadcasts shift offers accordingly. Broadcast notifications are sent via app push notification, email, and/or SMS as configured by the LPN.
2.3 — Facility-Initiated Contact: Facilities registered with Medloc may review the LPN's profile and directly send a shift offer, text message, or email to request coverage — independent of the auto-match system. The LPN is encouraged to respond to all contact promptly (see Section 7 — Response Rate).
The Medloc Platform gives LPNs full flexibility over how they engage with each shift offer. You are never locked into a shift you cannot fully complete.
3.1 — Full Shift Acceptance: The LPN may accept any posted shift offer in its entirety. Upon acceptance, the shift is confirmed and locked to the LPN. The associated Facility is notified immediately.
3.2 — Shift Splitting: The LPN has the right to accept the first half or second half of any offered shift. When a shift split is requested by the LPN it is logged:

A Facility posts a 07:00–15:00 (8-hour) day shift. The LPN accepts and splits it at the 4-hour mark (07:00–11:00). Medloc automatically creates and broadcasts a new 11:00–15:00 shift offer to all available LPNs. The original LPN is paid for 4 hours at the applicable shift rate.
3.3 — Sharing Shift Information: The LPN may share the details of any available (not yet accepted) shift offer with a colleague via:
The sharing feature is for recruitment purposes only. It does not assign or transfer a shift. The shared colleague must have a verified Medloc profile to accept the shift.
3.4 — Minimum Shift Duration: The LPN will be paid for a minimum of 2 hours for any confirmed shift, even if the LPN is released early at the Facility's discretion. The minimum applies to both full and split-shift portions.
3.5 — Cancellation After Acceptance: Once a shift is accepted by the LPN, cancellation must be communicated to Medloc with a minimum of 4 hours' advance notice. Repeated cancellations after acceptance will negatively impact the LPN's Reliability Score.
The LPN agrees to work exclusively within the regulated scope of LPN practice as defined by the Association of New Brunswick Licensed Practical Nurses (ANBLPN) and the Regulated Health Professions Act (RHPA - NB). LPN services through Medloc may include, but are not limited to:
The LPN shall not perform any act beyond their ANBLPN-authorized scope of practice. If a Facility requests an act outside the LPN's scope, the LPN must decline and immediately notify Medloc.
The LPN will be compensated at the following hourly rates (CAD), representing total take-home pay prior to applicable statutory deductions. Rates are effective January 1, 2026.

5.1 All rates above represent the LPN's gross take-home pay. Medloc charges the Facility a separate 12% platform fee on top of these amounts — the LPN's pay is never reduced by the platform fee.
5.2 — Emergency Backup Premium: Applies when the LPN accepts a shift with less than 4 hours' advance notice at Medloc's request. The premium applies for the full duration of the shift.
5.3 — Outbreak Premium: Applies when a Facility has declared an active outbreak (influenza, COVID-19, GI, etc.). Replaces (does not stack with) the evening or overnight differential.
5.4 — Minimum Billing: A minimum of 2 hours is paid for any confirmed shift, regardless of early release.
5.5 Medloc reserves the right to update this rate schedule with 30 days written notice. Rates will never decrease during the term of this Agreement.
6.1 Medloc processes payment to the LPN within 24 hours of shift completion and submission of an approved timesheet or digital check-in/check-out confirmation. Payments are made via direct bank transfer (EFT).
6.2 The LPN is responsible for accurately logging shift hours through the Medloc Platform. Discrepancies must be reported within 48 hours of shift end.
6.3 The rates in Section 5 are the net amounts paid directly to the LPN. No deductions are made by Medloc. Statutory deductions (CPP, EI, income tax) remain the LPN's responsibility as an independent service provider, unless a separate written employment agreement specifies otherwise.
6.4 — Split Shift Payment: When the LPN exercises the shift-split option (Section 3.2), payment is calculated based on actual hours worked in the accepted portion, subject to the 2-hour minimum.
Medloc tracks two key performance metrics for every nurse on the Platform. These scores are visible to registered Facilities when reviewing LPN profiles.
Response Rate
The percentage of shift offers (auto-matched or facility-initiated) that the LPN responds to — in any direction (accept, decline, or propose alternate time) — within 1 hour of delivery.
Reliability Score
A rolling score based on: shifts accepted and completed, last-minute cancellations, no-shows, and on-time arrival rate. Score displayed as 1–5 stars on the LPN's public profile.
7.1 Medloc strongly encourages responding to all shift offers, even as a simple decline. Ignoring shift offers lowers the Response Rate and may reduce the frequency of future offers broadcast to the LPN.
7.2 The LPN is not required to accept any shift offer. Declining a shift — for any reason — does not penalize the LPN, provided it is declined promptly.
7.3 Targets for Good Standing:
7.4 LPNs with a Response Rate below 50% for 30 consecutive days may be temporarily deprioritized in auto-match broadcasts. Medloc will notify the LPN before any deprioritization takes effect.

As a condition of this Agreement, the LPN confirms and agrees to maintain at all times:
10.1 — Confidentiality: The LPN agrees to maintain strict confidentiality of all patient, resident, and Facility information, in compliance with the Personal Health Information Privacy Act (PHIPA) and New Brunswick's Right to Information and Protection of Privacy Act (RTIPPA). This obligation survives termination indefinitely.
10.2 — Non-Solicitation: During the term of this Agreement and for 6 months following termination, the LPN agrees not to directly approach, solicit, or enter into independent care arrangements with any Facility introduced through the Platform, without Medloc's written consent.
10.3 — Termination by LPN: The LPN may terminate this Agreement with 72 hours' written notice to contact@medloc.ca. Outstanding shift commitments must be honoured or properly transferred before departure.
10.4 — Termination by Medloc: Medloc may terminate immediately and without notice in the event of: patient abuse or neglect; falsification of credentials; criminal charges; attending a shift impaired; or repeated no-call no-shows.
10.5 — Independent Contractor: The LPN is engaged as an independent service provider, not as an employee of Medloc, unless a written employment agreement specifies otherwise.
10.6 — Governing Law: This Agreement is governed by the laws of New Brunswick and applicable federal laws of Canada.
10.7 — Entire Agreement: This Agreement supersedes all prior representations. Amendments must be in writing and signed by both parties.
