Contract Terms

Please read each section carefully and initial to confirm your understanding and agreement. Date of this agreement: April 14, 2026.

1. Zero Cost to Join

There is absolutely no cost to the Healthcare Professional to join or maintain membership with the Medloc platform. Medloc does not charge sign-up fees, membership dues, subscription costs, or any other fees to healthcare professionals.

Medloc's revenue is generated solely from service fees charged to healthcare facilities. Your earnings from shifts will never be subject to platform fees or deductions by Medloc.

2. Scope of Services

Medloc operates as a platform connecting qualified healthcare professionals with healthcare facilities requiring temporary staffing. By signing this agreement, the Professional agrees to:

Provide nursing or healthcare services within their scope of practice as defined by their regulatory body.
Accept or decline shift offers at their sole discretion.
Maintain professional standards of care during all accepted shifts.
Comply with the policies and procedures of the facility where they are providing services.

3. Independent Contractor Status

The Professional acknowledges and agrees that they are an independent contractor and not an employee of Medloc Inc. or any healthcare facility accessed through the platform.

As an independent contractor, the Professional is responsible for their own tax obligations, including income tax, CPP contributions, and any other applicable deductions. Medloc will issue T4A slips where required by the Canada Revenue Agency.

4. Regulatory Body Compliance

The Professional must maintain active registration and good standing with their applicable regulatory body at all times while using the Medloc platform, including but not limited to:

NANB — Nurses Association of New Brunswick (for RNs and NPs)
ANBLPN — Association of New Brunswick Licensed Practical Nurses (for LPNs/RPNs)
CPSNB — College of Physicians and Surgeons of New Brunswick (for MDs)

Failure to maintain active registration will result in immediate suspension of platform access until compliance is restored.

5. Credential & License Verification

The Professional authorizes Medloc to verify and confirm credentials, licensure, and good standing with the relevant regulatory bodies. This includes:

Verification of nursing license or medical registration.
Criminal record / vulnerable sector check verification.
CPR/First Aid certification confirmation.
Immunization record review.

The Professional agrees that all information provided is accurate and complete. Providing false or misleading information is grounds for immediate termination from the platform.

6. Limitation of Liability (Zero Liability)

Medloc Inc. acts solely as a technology platform connecting healthcare professionals with healthcare facilities. Medloc assumes zero liability for:

Clinical decisions made by the Professional during any shift.
Patient outcomes or adverse events arising from the Professional's care.
Workplace injuries sustained by the Professional at any facility.
Disputes between the Professional and the healthcare facility.
Any loss, damage, or injury of any kind arising from platform use.

The Professional acknowledges that they carry their own professional liability insurance or are covered under their regulatory body's insurance program, and that Medloc does not provide liability insurance coverage.

7. Confidentiality & Data Protection

The Professional agrees to maintain the confidentiality of all patient information encountered during shifts in accordance with applicable privacy legislation, including PIPEDA and provincial health information laws.

Medloc commits to protecting the Professional's personal data in accordance with Canadian privacy legislation. Personal information will only be shared with healthcare facilities as necessary for shift assignments and credential verification.

8. Shift Cancellation & No-Show Policy

The Professional agrees to the following cancellation and attendance policies:

24+ hours notice: Cancellations with at least 24 hours notice carry no penalty.
Under 24 hours: Late cancellations may result in a warning on your profile.
No-show: Failure to appear for a confirmed shift without notice may result in suspension or termination from the platform.
Repeated pattern: Three (3) or more late cancellations within a 60-day period may trigger a review of your platform access.

Emergency situations (illness, family emergency, etc.) will be reviewed on a case-by-case basis.

9. Grievance Procedures

If the Professional has a complaint, concern, or grievance regarding a shift, a healthcare facility, or the Medloc platform, the following process applies:

Step 1 — Informal Resolution: Contact Medloc support at contact@medloc.ca to attempt informal resolution within 5 business days.
Step 2 — Formal Complaint: If unresolved, submit a formal written complaint via the platform. Medloc will respond within 10 business days.
Step 3 — Mediation: If the matter remains unresolved, both parties agree to engage in good-faith mediation before pursuing any legal action.
Step 4 — Regulatory Referral: If the grievance involves professional conduct, either party may refer the matter to the appropriate regulatory body.

10. Suspension & Termination

Medloc reserves the right to suspend or terminate a Professional's access to the platform at its sole discretion, including but not limited to the following circumstances:

Loss of active registration or good standing with a regulatory body.
Providing false or misleading credentials or information.
Repeated no-shows or late cancellations.
Violation of patient confidentiality or privacy laws.
Unsafe or unprofessional conduct as reported by a healthcare facility.
Any conduct that brings disrepute to Medloc or its partner facilities.
Breach of any term of this agreement.

The Professional may terminate this agreement at any time by providing written notice to Medloc. Outstanding shift commitments must be honored or cancelled in accordance with the cancellation policy.

11. Term & Agreement

This agreement is effective from the date of signing and remains in effect until terminated by either party in accordance with Section 10.

This agreement constitutes the entire understanding between the Professional and Medloc Inc. regarding the use of the Medloc platform. It supersedes all prior agreements, representations, and understandings.

This agreement shall be governed by and construed in accordance with the laws of the Province of New Brunswick, Canada.
